A real estate development is normally financed with three layers: the developer's own funds, a developer loan and, if there is a shortfall, investor equity or debt. In residential property, the loan consumes less bank capital if pre-sales with a deposit cover half of its amount or if the developer contributes 25% of the final value (EBA/GL/2025/03 guidelines, applicable from 4-11-2025).
If you are a developer, the problem will sound familiar. The bank asks for pre-sales to grant the loan, and you need the loan to build and sell with ease. This guide explains why the bank insists on pre-sales and how much capital you are missing in an example with figures. Then it reviews the regulated options to cover the gap without creating a problem with the National Securities Market Commission (CNMV).
Why the bank asks for pre-sales: the EBA/GL/2025/03 guidelines
The European banking reform of 2024, known as CRR3, created a separate category for loans financing the acquisition of land, site development and construction of real estate. The European Banking Authority (EBA) calls them ADC exposures (AUE in the Spanish version). Under the standardized approach for credit risk they are risk-weighted at 150% by default (Art. 126 bis of Regulation (EU) No. 575/2013, introduced by Regulation (EU) 2024/1623).
If the development is residential, the bank may apply 100% when, in addition to lending on prudent criteria, one of two conditions is met. The EBA/GL/2025/03 guidelines specify those conditions and apply from 4 November 2025. The Bank of Spain has adopted them as its own guidance (EBA/GL/2025/03 guidelines; guidelines adopted by the Bank of Spain).
| Condition | What the guidelines require | How it is calculated |
|---|---|---|
| 1. Sales contracts | Legally binding pre-sales with a deposit of at least 10% of the price, which the buyer forfeits if they withdraw, plus sales already signed | Sum of the prices of those contracts divided by the total amount of the loan, drawn and undrawn: at least 50% |
| 1 bis. Rental contracts | Pre-leases with a deposit of at least three monthly payments, plus signed leases | At least 50% of the project units |
| 2. Developer capital | Capital contributed of at least 25% of the value of the completed property | They count the cash contributed and segregated for the works, subsidies invested, construction costs paid and land paid for or contributed, minus the excess of total costs over the final value, if any |
A detail that changes the calculation: the sales condition is not measured on the number of homes, but on the loan amount. And the land counts at its market value at the time you contribute it to the project (paragraphs 13 to 21 of the EBA/GL/2025/03 Guidelines).
What it means for you: a loan that meets neither of the two conditions consumes 50% more bank capital (150 versus 100). That is why it is more expensive, comes with a lower amount or does not come at all. Prepare the file to prove one of the two from the first meeting.
Home buyers' deposits also have their own regime. From the license, the developer must guarantee their repayment with a guarantee or insurance, collect them in a special account and use them only for construction (First Additional Provision of Law 38/1999 on Construction).
Example: 40 homes and a developer loan of €6M
Suppose a special purpose vehicle develops 40 homes at €300,000 each: final value of €12M. The total cost is €9.6M, with €2.4M of land already paid for and €7.2M of construction and other expenses. The bank is considering a loan of €6M. Since the cost is below the final value, there are no cost overruns to subtract.
| Scenario | Pre-sales with a deposit of 10% | Contract ratio | Contributed capital | Capital ratio | Weighting |
|---|---|---|---|---|---|
| A | 10 homes (€3M in prices) | 3 / 6 = 50 % | €2.4M (land) | 20 % | 100 %: cumple la de contratos |
| B | None | 0 % | 2.4 M€ de suelo + 0.6 M€ en caja segregada | 3 / 12 = 25 % | 100 %: cumple la de capital |
| C | 6 viviendas (1.8 M€) | 30 % | €2.4M (land) | 20 % | 150 %: no cumple ninguna |
Regulated options to cover the gap
| Option | What it contributes | Limit or rule | What to watch |
|---|---|---|---|
| Partners and capital increase in the vehicle | Capital que cuenta para el 25 % | General meeting, deed and registration | Dilution in the vehicle |
| Participating loan or subordinated debt | Non-dilutive cash; the participating loan counts as equity for commercial law purposes | Bilateral contract: it is not a security | If the bank accepts it as contributed capital |
| Crowdlending or equity crowdfunding | Retail investors through an authorized platform | 5 M€ por promotor en 12 meses | Platform rules and fees |
| Bonds of the vehicle | Debt over the construction term, also with mortgage security | In an S.L., up to twice its equity unless there is a mortgage or other security | Priority over the developer loan |
| Tokenized issuance of shares or bonds | Own investor base and registry with legal effect | ERIR; folleto o exención de 12 M€ | Shares only from an S.A. |
One public route is out: ENISA participating loans exclude the real estate sector (ENISA conditions).
Developer loan: the main layer
The most overlooked risk: that your vehicle is an EICC
| Signal | Closer to a developer | Closer to an EICC |
|---|---|---|
| What the vehicle does | Develops and builds a specific project | Invests in projects that a manager will choose after raising funds |
| Investment policy | There is none: the project is the corporate purpose | Defined criteria for investing in several assets |
| Control | Shareholders decide at the general meeting and the administrator manages the construction | Investors delegate all investment decisions |
| How it is presented | Financing of an identified development | Investment product with target return |
What it means for you: one company per development, with the project identified before raising funds, is far from an EICC. A vehicle that raises funds first and chooses developments afterwards is very close. If what you want is a real estate investment fund for several developments, that is a different structure and requires an authorized management company. Validate it with a law firm before raising the first euro.
What changes if you issue tokenized securities
HokenFi provides the issuance software: investor verification, MiFID II appropriateness test, investor portal and coupon or dividend payments. It is not an authorized entity, it does not raise investors on your behalf or hold funds in custody. The full journey for developers is in the real estate tokenization guide, in what an SPV is and in real estate project with tokenized securities.
Checklist before talking to the bank and investors
- Guarantee the reservation deposits with a guarantee or insurance and collect them in a special account.
- Choose the vehicle: S.A. if you are going to issue shares; an S.L. works for bonds within its limit.
- Identify the development before raising funds, to stay away from the EICC.
- Agree with the bank the priority of any new debt before signing it.
If you need a law firm to prepare the transaction, at HokenFi's partner law firms you can request proposals from the platform.

Frequently asked questions
How to obtain financing for a real estate project?
How many pre-sales does the bank require for a developer loan?
What is the interest rate on a developer loan?
Can a real estate developer finance itself with crowdfunding?
When is a real estate vehicle with several investors an EICC?
