How this is financed.
What is tokenized is the security issued by your company. The harvest, grain or gold remain owned by your company, and the investor has the rights of the security they subscribe.
- A crop season is well financed with promissory notes due in less than a year, with maturity set after the sale.
- An investment paid over several years, such as irrigation, machinery or a warehouse, fits with bonds and debentures.
- If your company is a public limited company and you want to add partners, you can issue shares.
- With investors you already know and without issuing securities, there is a participating loan, which also works for an S.L.
When it fits and when it doesn't.
It fits if
- Your sales schedule covers the payment dates you set.
- Your company is an S.A., or an S.L. that fits within its issuance limit.
- You have your own investors to invite.
It does not fit if
- You want each token to represent kilos of grain or ounces of gold. That is another type of asset, with another regime, and HokenFi does not cover it.
- Your S.L. needs more than twice its equity and cannot provide guarantees. See the participating loan or convert it into an S.A.
- You need the money in days. Preparing an issuance takes weeks.
- You expect someone to find investors for you. HokenFi does not find them.

Your company
A corporate law firm creates the issuing company or transforms yours into a public limited company, if needed. You choose it from offers without leaving the account.

Your issuance document
A law firm specialized in securities or an investment services firm (ESI) drafts the issuance document. You also choose it from offers.

Your issuance
You create the tokens for your issuance. You start paying for the plan when you launch it.

Go to market
The ESI validates the offer when the law requires it and the ERIR registers the securities. You open the issuance collection account, with its own IBAN. It is the automated IBAN plugin, at 150 € per month, included in Scale and Institutional.

You open to your investors
Your investors are verified, subscribe and pay by transfer to that account. The ERIR records them as holders and you see the list on your dashboard.

What beginners usually ask.
Can I tokenize the harvest or the gold?
Not with HokenFi. What is registered is the security issued by your company, such as a promissory note or a bond. The goods remain with your company and the investor has the rights of that security.
Can I issue before the harvest and repay after?
Yes. You set the maturity date of each promissory note, so you can set it after the sale. You need to forecast the cash to repay it on that date.
What if we are a cooperative?
The state cooperative law allows issuing bonds, by resolution of the governing council unless the bylaws say otherwise. Many cooperatives are governed by the law of their autonomous community, so your law firm confirms in its proposal what yours can issue.
Do I need a prospectus?
In general, not with promissory notes maturing in less than 365 days, whatever the amount. For other securities the general rule applies, and below 8 million over twelve months, generally not either. Since June 2026 the European regulation sets that figure at 12, unless a country opts for 5, but Spanish law still says 8, so your law firm confirms the one in force. Yes, you need the issuance document.
How much does it cost?
You pay a one-time access fee of 249 €. The plan, from 249 € per month, is not paid until you launch the issuance. The automated IBAN costs 150 € per month and is included in Scale and Institutional. Law firm fees, the ERIR and the ESI are separate and you see them in each offer before signing. Add notary and Commercial Registry fees. Prices exclude VAT.
