No. HokenFi is software. Regulated functions are performed by authorized entities, which are the ERIR and, when the law requires it, the ESI.

The investors you bring. HokenFi does not find them for you. It verifies them before they invest and shows you in your dashboard who has subscribed.

It is not mandatory. You can prepare your company and the issuance document on your own. What you do need is the ESI, when the law requires it, and the ERIR. We recommend the platform's law firms because they specialize in this type of issuance.
Get startedMy company is an S.L. Can I issue?
Better an S.A. An S.L. cannot tokenize its shares, and for bonds it has a cap. If you prefer to remain an S.L., look at the participating loan.
CostHow much does it cost in total?
The HokenFi subscription, from 249 € per month, and a one-time access fee of 249 €. In addition, the law firm's fees, the ERIR and the ESI, which you see in each offer before signing, and the notary and the Commercial Registry. Prices exclude VAT.
CostDoes my investors' money go through HokenFi?
No. The collection account for your issuance is opened by an authorized payment provider, in the name of your company. HokenFi does not receive or hold funds.
CostHow much does white label cost?
390 € per month in Starter and Growth. It is included in Scale and Institutional. Prices exclude VAT.
TimelinesHow long does it take?
There is no fixed timeline. With the platform milestones, it ranges from about two months if you are already an S.A. to five months or more if it has to be converted, and publication with the CNMV can extend it. It depends mainly on your law firm, the ESI and the ERIR.

You skip the first milestone, which usually takes about two months.
LegalDo I need a prospectus?
Below 8 million over twelve months, generally no. From June 2026 the European regulation sets that figure at 12, unless a country opts for 5, but Spanish law still says 8, so your law firm confirms the one in force. Yes, you need the issuance document.
LegalWhat is the ERIR?
The authorized entity that records your securities in a register based on distributed ledger technology. Today the only one listed by the CNMV is Ursus-3 Capital, and it is already connected to the platform.
LegalWhat does the ESI do?
It validates the offer when required by law. In those issuances, without its validation the issuance is not opened to investors.
PlatformWhich networks can I issue on?
On Ethereum and Polygon, the two networks where HokenFi works with the ERIR. Solana and ISBE are on the way.
PlatformCan I put my brand?
Yes. Your domain is included in all plans, and with white label you put your logo, your colors, your texts and your emails on your investors' portal.
PlatformWhat is AIPher?
An AI assistant that you hire and that answers your investors within their portal. It does not provide investment advice.
InvestorsHow do my investors invest?
They create their account with their email and a code. When they click Invest, they accept the documents, verify their identity, answer the appropriateness test and buy, all in a single process.
InvestorsCan companies invest?
Yes. An investor registers their company, the company is verified and the securities are registered in its name.
